These Terms of Use (“Terms”) govern your access to and use of applications, services, websites, plugins, extensions, agents, and related offerings (collectively, the “Services”) provided by EfficiencyNext LLC (“EfficiencyNext,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and Authority

You must be legally capable of entering into a binding agreement to use the Services.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Relationship to Microsoft Products and Services

The Services may integrate with, depend on, or operate within Microsoft products, platforms, or services (including but not limited to Microsoft 365, Power Platform, Azure, Copilot Studio, or Teams).

  • EfficiencyNext is not affiliated with, endorsed by, or sponsored by Microsoft, unless expressly stated otherwise.
  • Your use of Microsoft products remains subject to Microsoft’s applicable terms, licenses, and policies.
  • EfficiencyNext is not responsible for changes, outages, limitations, or discontinuation of Microsoft services.

3. License Grant and Restrictions

3.1 License

Subject to these Terms, EfficiencyNext grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended business or personal purposes.

3.2 Restrictions

You may not:

  • Reverse engineer, decompile, or attempt to extract source code
  • Circumvent security, usage limits, or access controls
  • Use the Services to violate laws, regulations, or third-party rights
  • Use the Services for high-risk activities where failure could cause harm (e.g., medical, legal, financial decision-making without professional oversight)
  • Resell, sublicense, or redistribute the Services unless explicitly permitted

4. User Content and Data

4.1 Your Content

You retain ownership of data, prompts, files, and content you provide (“User Content”).
You grant EfficiencyNext a limited right to process User Content solely to provide and support the Services.

4.2 Responsibility

You are responsible for:

  • Ensuring you have rights to submit User Content
  • Complying with applicable privacy and data protection laws
  • Not submitting sensitive personal data unless explicitly supported and documented

4.3 No Training Use Unless Stated

EfficiencyNext does not use your User Content to train generalized AI models unless explicitly stated in writing.

5. AI and Automated Outputs

Some Services may generate responses, recommendations, or outputs using automated or AI-based systems.

  • Outputs may be inaccurate, incomplete, or outdated
  • Outputs are provided for informational purposes only
  • You are responsible for reviewing and validating outputs before relying on them

EfficiencyNext makes no guarantee that AI-generated outputs are correct, compliant, or suitable for any specific purpose.

6. Security and Availability

We use commercially reasonable measures to protect the Services, but:

  • No system is completely secure
  • We do not guarantee uninterrupted or error-free operation
  • Features may change, be limited, or discontinued at any time

7. Fees and Marketplace Transactions

If the Services are offered through the Microsoft Commercial Marketplace or another marketplace:

  • Billing, refunds, and cancellations may be handled by the marketplace provider
  • Marketplace terms may apply in addition to these Terms
  • In the event of conflict, marketplace terms may control billing-related matters

8. Intellectual Property

All rights, title, and interest in the Services—including software, designs, workflows, documentation, and branding—remain the exclusive property of EfficiencyNext or its licensors.

Nothing in these Terms grants you ownership of any intellectual property.

9. Termination

We may suspend or terminate your access to the Services at any time if:

  • You violate these Terms
  • Required by law or platform policy
  • Continued operation poses security or legal risk

Upon termination, your license ends immediately.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

EFFICIENCYNEXT DISCLAIMS ALL WARRANTIES, INCLUDING:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF OUTPUTS

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • EFFICIENCYNEXT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES
  • TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM

12. Indemnification

You agree to indemnify and hold harmless EfficiencyNext from claims arising out of:

  • Your use of the Services
  • Your User Content
  • Violation of laws or third-party rights

13. Governing Law

These Terms are governed by the laws of the State of Virginia, without regard to conflict-of-law principles.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms.
